Terms of Service

1. Agreement to Terms
By engaging the services of PixelStructurePro (“we,” “our,” or “us”), located at Calle Colon de Larreategui 20, 48001 Bilbao, Spain, you (“Client”) agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Scope of Services
PixelStructurePro provides web design, UI/UX design, landing page architecture, e-commerce design, and related digital services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate written proposal or agreement between PixelStructurePro and the Client.
3. Project Proposals & Pricing
All proposals issued by PixelStructurePro are valid for 30 days from the date of issue. Prices quoted are in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated. Additional work outside the agreed scope will be quoted separately and requires Client approval before commencement.
4. Payment Terms
- 50% of the total project fee is due upon project initiation as a non-refundable deposit.
- The remaining 50% is due upon project completion and before final file delivery.
- For maintenance or retainer services, monthly payments are due in advance on the 1st of each month.
- Payments not received within 14 days of the due date will incur a late fee of 1.5% per month on the outstanding balance.
5. Project Timeline & Delays
Project timelines are estimates provided in good faith. PixelStructurePro will make reasonable efforts to meet agreed deadlines. Delays caused by the Client (including delayed feedback, content provision, or approval) may result in adjusted timelines. PixelStructurePro is not liable for delays resulting from force majeure events.
6. Intellectual Property
Upon receipt of full payment, PixelStructurePro grants the Client full ownership of all final deliverables, including design files, source code, and assets created specifically for the project. PixelStructurePro retains the right to display work in portfolios and case studies unless otherwise agreed in writing.
7. Revision Policy
Each project includes up to two (2) rounds of revisions as defined in the project proposal. Additional revision rounds beyond this allowance will be billed at €120 per round. Revisions must be submitted in a single consolidated document or message per round.
8. Limitation of Liability
To the maximum extent permitted by applicable law, PixelStructurePro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. Neither party shall disclose such information to third parties without prior written consent, except as required by law.
10. Termination
Either party may terminate the agreement with 14 days’ written notice. Upon termination, the Client is responsible for payment of all work completed up to the termination date. The non-refundable deposit shall not be returned.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of Spain. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bilbao, Bizkaia, Spain.

Refund & Reimbursement Policy

2. Deposit Policy
The initial 50% project deposit paid upon project initiation is non-refundable. This deposit covers project planning, resource allocation, design discovery, and initial development work undertaken upon project commencement.
3. Refund Eligibility
Refunds for completed work may be considered under the following circumstances:
- Failure to Deliver: If PixelStructurePro fails to deliver the agreed-upon deliverables as defined in the project proposal and no reasonable remedy can be provided within 30 days, the Client may request a refund for the undelivered portion of the work.
- Material Defects: If delivered work contains material defects that cannot be resolved through the agreed revision process and the Client notifies PixelStructurePro within 14 days of delivery.
- Cancellation Before Work Begins: If the Client cancels the project before any work has commenced (within 48 hours of the initial deposit), a partial refund of the deposit minus an administrative fee of €150 may be issued.
4. Non-Refundable Items
The following are non-refundable:
- The initial 50% project deposit (unless cancellation occurs before work begins as described above).
- Third-party costs incurred on behalf of the Client (domain registrations, hosting fees, stock image licenses, premium plugins, or other purchased assets).
- Work completed and approved by the Client during the project lifecycle.
- Maintenance or retainer fees for months in which services were rendered.
- Services rendered under a signed project agreement where the Client changed project scope or requirements after work commenced.
5. Refund Request Process
To request a refund, the Client must:
- Submit a written refund request to [email protected] within 14 days of the relevant delivery or invoice date.
- Clearly describe the reason for the refund request and provide supporting evidence (e.g., screenshots of defects, correspondence records).
- Allow PixelStructurePro up to 14 business days to review the request and respond with a resolution.
6. Refund Processing
If a refund is approved, it will be processed within 30 days of approval. Refunds will be issued to the original payment method. Processing times may vary depending on your financial institution.
7. Dispute Resolution
In the event of a dispute regarding refunds, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation before the Courts of Bilbao, Bizkaia, Spain, in accordance with Spanish law.
8. Consumer Rights
Nothing in this policy affects your statutory rights as a consumer under applicable Spanish and EU consumer protection legislation, including the right to withdrawal for distance contracts as defined in EU Directive 2011/83/EU.
